This agreement is between Racey ("we", "us", "the Service") and the league
administrator who signs on behalf of their league ("you", "Founding Partner").
By clicking "I agree" in the Racey app, you accept these terms on behalf of
the league named in the signing record.
## 1. Definitions
- **"League"** means the racing league registered on Racey under the slug
recorded in the signing record.
- **"League Admin"** means any user with `league.manage` permission on the League.
- **"Founding Partner"** means a League whose `isFoundingLeague` flag is set
by Racey, formalizing the cohort that joined Racey before 2026-05-08.
- **"Service"** means racey.gg and its associated tools and APIs.
## 2. What you get
- **Free Pro for life.** Your League's Pro feature set is permanently free,
regardless of future Pro pricing changes. This includes all per-League
feature flags currently gated behind Pro (custom branding, unlimited teams,
unlimited seasons, advanced scoring, etc.) and any per-League feature
shipped to standard Pro in the future at no extra cost.
- **Direct line to the founder.** Bug reports, feature requests, and roadmap
input you submit are reviewed by the founder, with first response within
7 calendar days. Substantive resolution timelines depend on scope.
- **Founding Partner badge** on your league's public page (opt-out available
on request).
- **Permanent access.** If we ever sunset the Free Pro tier for new
customers, your access continues unchanged.
## 3. What we ask in return
- **Reasonable feedback engagement.** Reply to product surveys when they're
sent (we expect ~quarterly cadence). Missing the occasional one is fine;
consistently ignoring all of them for 6+ months is grounds for moving
the League off the Founding Partner cohort.
- **Public attribution permitted.** We may publicly identify your League as
a Founding Partner using only the League name, slug, and logo (no
personally identifiable data). You may opt out of public attribution by
email to the founder; the badge in the app remains.
## 4. Term and termination
- **Term.** Indefinite, starting on the signing date.
- **Termination by you.** You may terminate at any time with 30 days
written notice (email is fine). On termination, the Free Pro tier ends
with the end of the next billing cycle and the League's plan reverts to
whichever standard tier the League Admin selects. Any data export
request is fulfilled per `/legal/data-retention`.
- **Termination by us for cause.** We may terminate immediately for service
abuse, payment fraud, or material breach, after 14 days written notice
with opportunity to cure.
- **Termination by us for convenience.** We may terminate with 90 days
written notice. **The Free Pro tier survives this kind of termination**
— once a Founding Partner, always a Founding Partner unless you act in
bad faith.
## 5. Multi-admin and ownership changes
- Any one League Admin's signature binds the League. We do not require
every admin to sign.
- This agreement binds the League regardless of which individuals act as
League Admin over time. If the original signer leaves and a new admin
joins, no re-signing is required.
- If the League is transferred to a new owning organization, the Founding
Partner status follows the League slug, not the previous owner.
## 6. Data and privacy
This agreement does not change the terms of the Privacy Policy at
`/privacy`, the Terms of Service at `/terms`, or the Data Retention Policy
at `/legal/data-retention`. Those documents continue to govern data
handling for both you and your League's drivers.
## 7. Confidentiality
From time to time we may share unreleased product roadmap details, draft
features, or pre-public business information with Founding Partners.
Treat such information as confidential — don't republish or share with
third parties without our written consent. Information that is already
public, that you knew before we shared it, or that you receive
independently from a non-confidential source is not covered by this
clause. This obligation survives termination of this agreement.
## 8. Liability
The Service is provided "as-is". To the extent permitted by law, we
disclaim all warranties (express, implied, statutory, or otherwise),
including warranties of merchantability, fitness for a particular
purpose, and non-infringement.
Our aggregate liability under this agreement, regardless of the form of
action (contract, tort, or otherwise), is capped at the lesser of (a)
twelve months of subscription fees you paid us during the 12 months
preceding the claim, or (b) USD $1,000.
For Founding Partners on the Free Pro tier with $0 in subscription fees,
the cap is USD $1,000.
Neither party is liable for indirect, incidental, consequential,
special, exemplary, or punitive damages. This limitation applies even if
the remedy is found to fail of its essential purpose.
## 9. Force majeure
Neither party is liable for delays or failures in performance caused by
events outside reasonable control: natural disasters, war, terrorism,
labor disputes, government action, or failure of upstream service
providers (cloud hosting, payment processors, CDN, DNS).
## 10. Changes to this agreement
We may update this agreement. Material changes (anything affecting your
rights, our obligations, or the price lock) will be:
- communicated by email to every active League Admin on the League at
least 30 days before taking effect, AND
- surfaced as a banner in the Racey app prompting re-signing via the
same in-app flow.
If a League Admin doesn't accept material changes within 60 days of
notification, the League reverts to standard Pro pricing at the
then-current rate at the end of the next billing cycle. Non-material
clarifications (typos, formatting, references to renamed pages) may be
applied without re-signing; we'll note them in the version history.
## 11. Survival
The following obligations survive termination:
- §2 (Free Pro for life — survives termination by us for convenience)
- §6 (Data and privacy — references to other policies remain in force)
- §7 (Confidentiality — for 2 years following termination)
- §8 (Liability — applies to claims arising during the term)
- §13 (Governing law — applies to disputes arising during the term)
## 12. General
- **Entire agreement.** This document is the complete agreement between
you and us regarding the Founding Partner program. No side promises,
prior drafts, or verbal commitments count unless re-stated here.
- **Severability.** If any clause is held invalid or unenforceable by a
court, the rest remains in full effect. The court should reform the
invalid clause to come as close as possible to the original intent.
- **Assignment.** You may not assign this agreement to a third party
without our written consent (which we won't unreasonably withhold).
We may assign this agreement to a successor entity (acquirer, merger,
reorganization) without your consent.
- **Notices.** Email to the founder at the address listed on
`/contact-enterprise` is the canonical notification channel for both
parties unless otherwise agreed.
## 13. Governing law and disputes
This agreement is governed by the laws of the State of North Carolina,
USA, without regard to conflict of laws principles. Any disputes
arising under or related to this agreement will be resolved in the
state or federal courts located in Wake County, North Carolina, and
both parties consent to personal jurisdiction there.
